Our contract with you

These Terms-page and conditions (Terms-page or Contract) describe the Terms-page and conditions applicable to your access and use (as a buyer) of the websites, mobile sites, mobile applications and other portals owned, operated, branded or made available by our B2B marketplace on www.tijarahub.com (Tijarahub Website).
Your access to and use of the Tijarahub Website (i.e. its services, software and products) is subject to the Terms-page and conditions contained in this document as well as the following polices:

• Privacy Policy.
• Return and refund policy and any other rules and policies of the Tijarahub Website that we may publish from time to time.

Entire agreement

The Contract is the entire agreement between us in relation to its subject matter.
You acknowledge that you have not relied on any statement, promise or representation or assurance or warranty that is not set out in the Contract.

Language

These Terms-page and the Contract are made only in the English language.
If we offer any Tijarahub Website translations of these Terms-page on the, this English version shall always prevail in case of any conflict or inconsistencies between other translated versions and this English version.

Amendments

We may amend any Terms-page at any time by posting the relevant amended and restated Terms-page on Tijarahub Website.
By continuing to access or use the Tijarahub Websites, you agree that the amended and restated Terms-page will apply to you.

Membership and General Obligations of Members

In order to access and use our services, you must register as a member on Tijarahub Website. You must comply with all registration requirements communicated by us to you.

Tijarahub Website is for use by businesses and their representatives and may not be used for personal use or by individual consumers.

At registration

You will be assigned an account and issued dedicated member ID/username and password.
The password will be chosen by you during registration process.
You will be solely responsible for maintaining the security of your credentials and for all use of and activities under your account on Tijarahub Website (whether such use or activities are authorized or not).
You are not allowed to share your account with any person other than your business entity or allow any other person or individual (who is not an authorised representative) to use your account.

Suspend your account

We may suspend or cancel your account for security reasons, if you breach these Terms-page or for other reasons at our sole discretion.
We will ensure that any suspension or cancellation without cause would not affect any of rights that exists before such suspension or cancellation.

We may suspend, amend, or stop any service or feature on Tijarahub Website, except for any fee-based service (if any).

By becoming a member on our website, you agree that we are entitled to include your contact details and other information about you in our database and you authorise us to share such information with other users of the website (such as the suppliers).
You also authorise us to use your personal information in accordance with the Privacy Policy.

As a condition of your access to and use of Tijarahub Website, you agree that:

• You will comply with all applicable laws and regulation when using Tijarahub Website.
• You will not copy, reproduce, download, re-publish, sell, distribute or resell any of the contents on Tijarahub Website (including, but not limited to, any images, texts, information, video clips, sound, graphics, directories, files, listings, or database etc..).
• You will conduct your business transactions on Tijarahub in good faith.
• You will not impersonate any person or entity, misrepresent yourself or your affiliation with any person or entity.
• You are not a sanctioned entity or an entity affiliated with a sanctioned person nor subject to legal or trade restrictions according to applicable laws on sanctions in any country.
• You hold all licenses and permits necessary to allow to use Tijarahub Website or conclude transactions on it.
• You will not engage in any unlawful activities or transactions on Tijarahub Website.
• You will not engage in spamming or phishing and you nor you will involve any computer viruses or other destructive devices and codes that have the effect of damaging, interfering with, intercepting or expropriating any software or hardware system, data or personal information or involve any scheme to undermine the integrity of the data, systems or networks used Tijarahub Website and/or any of its users or gain unauthorized access to such data, systems or networks.
• All information you provide to us or you provide as part of your onboarding as a member or in relation to your dealings on the Tijarahub Website are true, accurate, complete and lawful.

We reserve the right to, but shall not be required, to actively monitor or exercise any editorial control whatsoever over the content of any message or material or information created, obtained or accessible through Tijarahub Website.
You will be solely responsible for the contents of any communication or information posted by you to Tijarahub Website.

We may allow users to access to content, products or services offered by third parties through hyperlinks (in the form of banners, word link, channels or otherwise), API or otherwise to such third parties' websites.
You are cautioned to read such websites' Terms-page and conditions and privacy policies before using them. You acknowledge we have no control over such third parties' websites, do not monitor such websites, and shall not be responsible or liable to anyone for such websites, or any content, products or services made available on or through such websites.

Your Transactions with Suppliers on Tijarahub Website

Tijarahub or Tijarahub.com is a web-based platform for the facilitation of transactions between suppliers and buyers, allowing them to conclude, manage and fulfil transactions for the supply of goods (Products) via Tijarahub Website, subject to these Terms-page and in relation to the buyers and the applicable Terms-page and conditions that apply to suppliers.
In this respect, we neither represent you (as a buyer) nor we represent the suppliers in any of the transactions you conclude via Tijarahub Website.
All transactions you conclude are entered directly and only with the relevant supplier (Agreement with Supplier) and we will not be a party to such transactions.
We do not control and is not liable for the quality, safety, lawfulness or availability of the Products offered for sale by the suppliers on Tijarahub Website, the ability of the supplier to complete a sale or your ability to complete a purchase.

While we strive to verify all of our suppliers and all information and content on Tijarahub Website, you are responsible for all risks associated with dealings with the suppliers offering Products on Tijarahub Website.
We encourage you to use the means available to you to evaluate with whom you’re dealing on Tijarahub Website.

When you place an order on Tijarahub Website, you enter into the Agreement with Supplier directly with the supplier.
The Terms-page applicable to this transaction will be set out in the order Terms-page or in other Terms-page and conditions that you and the supplier may agree as part of the ordering process.
You and the supplier are solely responsible for setting out in the Agreement with Supplier and performance of the Terms-page and conditions of the transactions conducted on, through or as a result of use of Tijarahub Website including, without limitation, Terms-page regarding returns, warranties, insurance, fees, taxes, title, licenses, fines, permits, handling, transportation and storage.
Tijarahub Website will facilitate the exchange of such information between you and the supplier.

You and the supplier will be required to submit all documents and material relating to the transactions to us.
Any failure to do so allows us to suspend your membership and/or suspend/terminate the relevant order.

Using Third Party Vendors on Tijarahub Website

You may engage one or more third party vendors for the purpose of completing and fulfilling a transaction with a supplier such as the warehousing and logistic service companies, shipping agents, inspection agents, insurance companies, warranty, etc.
Some of such third-party vendors may be our partners and thus designated by us to you on Tijarahub Website.
Among such designated partners, you may be required to agree and accept the Terms-page and conditions of their services either on Tijarahub Website or on the vendor’s website.
You agree that unless otherwise arranged between you and us, the buyers and suppliers on Tijarahub Website are responsible for arranging for the shipment of the products independently.
Unless otherwise agreed between the you and the supplier, you are responsible for the last mile delivery once the products have been delivered in accordance with the IncoTerms-page agreed between you and the supplier under the Agreement with Supplier.
Notwithstanding the foregoing, for all third-party vendors, you acknowledge and agree that such third-party vendors are engaged at your own discretion and cost and that you will not hold us liable for any losses, damages, claims, liabilities, costs or expenses arising from the services of such third-party vendors.

In addition, in case you engage any third-party vendor services through Tijarahub Website for which the online payment settlement will be processed through us, you and the vendor shall be deemed to have instructed us to transmit the relevant payment instruction from our system.

Placing an order and its acceptance

Placing your order

Please follow the onscreen prompts to place an order through Tijarahub Website.
Each order is an offer by you to the relevant supplier to buy the Products specified in the order subject to these Terms-page and in accordance with the Agreement with the Supplier.

Correcting input errors

Our order process allows you to check and amend any errors before submitting your order to us.
Please check the order carefully before confirming it.
You are responsible for ensuring that your order and any specification submitted by you is complete and accurate.

Acknowledging receipt of your order

After you place an order, you will receive an email from us acknowledging that we have received it, but please note that this does not mean that your order has been accepted by the supplier.
The acceptance of your order will take place as described in clause at the point below.

Accepting your order

The acceptance of your order takes place when we send the email to you to confirm its acceptance by the supplier, at which point the Agreement with Supplier will come into existence.

If your order cannot be accepted

If the supplier is unable to supply you with the Products for any reason, we will inform you of this by email and we will not process your order. If you have already paid for the Products, we will refund you the full amount including any delivery costs charged as soon as possible.

Products offered by suppliers on Tijarahub Website

The images of the Products on our site are for illustrative purposes only.
Although we have made every effort to cause the suppliers display the colours accurately, we cannot guarantee that your computer's display of the colours accurately reflect the colour of the Products.
The colour of your Products may vary slightly from those images.

Although we have made every effort to cause our suppliers to be as accurate as possible, all sizes, weights, capacities, dimensions and measurements indicated on our site have a tolerance that will be indicated within the Product display.

The packaging of your Products may vary from that shown on images on our site.

We apply packaging and logistics requirements to our suppliers based on reasonable commercial standards under our Packaging and Logistics policy.
You may require the supplier to commit to these requirements under the Agreement with Supplier.

Return and refund

You may cancel the Agreement with Supplier and receive a refund according to the Terms-page of return and refund under The Return and Refund Policy.

You must complete the cancellation form on Tijarahub Website or through our customer service.
If you use this method we will email you to confirm we have received your cancellation form.

If Products have been delivered to you before you decide to cancel the Agreement with Supplier then you must return them to us without undue delay in accordance with the Return and Refund Policy.

Delivery

The delivery of the Products will be agreed between you and the supplier under the order and the Agreement with Supplier.
You may also arrange for delivery through any third-party vendor offering delivery services on Tijarahub Website.

If you order Products from our site for international delivery, your order may be subject to import duties and taxes which are applied when the delivery reaches that destination.
Please note that we have no control over these charges and we cannot predict their amount.
Tijarahub Website may be able to provide with details on such duties and taxes, but it remains you responsibility to verify such details.

Tijarahub, will be supporting you in having an estimated cost for your import duties and tax, but You will be responsible for payment of any such import duties and taxes.
Please contact your local customs office for further information before placing your order.

You must comply with all applicable laws and regulations of the country for which the Products are destined and ensure that the Products are complaint with any applicable specifications or standards in the country of destination.

Price of goods and delivery charges

The prices of the Products will be as quoted on our site at the time you submit your order.
These prices are provided by the suppliers. We take all reasonable care to ensure that the prices of Products are correct at the time when the relevant information was entered onto the system.
However, please see clause at the point above for what happens if we discover an error in the price of Products you ordered.

Prices for Products may change from time to time, but changes will not affect any order you have already placed.

The price of Products excludes taxes (where applicable).

The price of the Products does not include charges for any additional services offered on Tijarahub Website, directly by us or via our third-party vendors.

We sell a large number of Products through our site.
It is always possible that, despite our reasonable efforts, some of the Products on our site may be incorrectly priced.
If we discover an error in the price of the Products you have ordered we will contact you to inform you of this error and we will give you the option of continuing to purchase the Products at the correct price or cancelling your order.
We will not process your order until we have your instructions.
If we are unable to contact you using the contact details you provided during the order process, we will treat the order as cancelled and notify you in writing.
we mistakenly accept and process your order where a pricing error is obvious and unmistakeable and could reasonably have been recognised by you as a mispricing, we may cancel supply of the Products and refund you any sums you have paid.

How to pay for products

You can pay for Products using the methods available on Tijarahub Website.

If the payment for the Products is handled through us, the handling of such payment will be in accordance with our Payment Policy and our third-party payment gate way that will apply.

By using the available payment options on Tijarahub Website, you acknowledge and agree that we are not a bank and services in that context should in no way be construed as the provision of banking services.
We are not acting as a trustee, fiduciary or escrow with respect to funds and we do not have control of, nor liability for, the Products or services that are paid for through Tijarahub Website.
We do not guarantee the identity of any user or ensure that a buyer or a supplier will complete a transaction Tijarahub Website.
You further agree that neither you will not receive interest or other profits in relation to your payments.

Our fees

No fees will apply, We will be charging you in accordance of any payment fees related to your payments through our website and third party payment gateways.

Communications with Tijarahub and the Suppliers

When we refer to "in writing" in these Terms-page, this includes email.

All communications between us will be through the communication interfaces on Tijarahub Website. You confirm that your contact details will be accurate.

You must always use the communication interface on Tijarahub Website to communicate with suppliers or third-party vendors who offers Products on Tijarahub Website or to enquire about Products or services on Tijarahub Website.
This helps us to keep a full record of all communications in relation to any transaction, in case there are any disputes.

You mustn't in any way ask or encourage a supplier or a third party vendor to buy their Products or services (or repeat orders for those or similar products) either directly by you or from another source.

Manufacturer's guarantee and warranty for Products

Some of the Products sold on Tijarahub Website come with a manufacturer's guarantee.
For details of the applicable Terms-page and conditions, please refer to the manufacturer's guarantee provided with the Products in the Agreement with Supplier or otherwise separately by the supplier.

Except as expressly stated in these Terms-page, we do not give any representations, warranties or undertakings in relation to the Products.
Any representation, condition or warranty will be provided by the supplier to you in the Agreement with Supplier.

Any repair or replacement Products will be in accordance with the Agreement with Supplier.

Tijarahub Liability

You expressly agree that your use of tijarahub website and your dealings with suppliers on tijarahub website is at your sole risk.
To the full extent permitted by law the services on tijarahub website are provided on the "as is", "as available" and “with all faults” bases, and we make no representation or warranty that the services will be uninterrupted, timely or error free.
We make no representation or warranty with respect to the accuracy, truthfulness and completeness of the information provided by any user of tijarahub website.
You will be solely responsible for all consequences resulting from your own judgement and decision to use or otherwise rely on such information.
We and our affiliates further expressly disclaims any and all warranties, express or implied, including but not limited to any warranties of condition, quality, durability, performance, accuracy, reliability, merchantability or fitness for a particular purpose or non-infringement even if advised of the possibility of such damages or if such possibility was reasonably foreseeable, all such warranties, representations, conditions, undertakings and Terms-page are hereby disclaimed and excluded.

To the full extent permitted by law, we shall not be liable for any indirect, consequential, incidental, special or punitive damages, including without limitation damages for loss of profits or revenues, business interruption, loss of business opportunities or loss of data, whether in contract, negligence, tort, equity or otherwise, arising from the use of or inability to use the services on tijarahub website.the aggregate liability of us and our affiliates arising from the services in connection with any online transaction shall not exceed the higher of the service fees charged by us or us$1,000.

Some or all of these limitations or exclusions may not apply to you if your state, province or country does not allow the limitation or exclusion of liability for incidental or consequential damages, so the foregoing exclusions or limitations may not apply to you.
You may also have other rights under your local law in your state, region or country that vary from state to state.
Nothing in this agreement is intended to affect those rights if they are applicable to you.

Events outside our control

We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations that is caused by any act or event beyond our reasonable control (Event Outside Our Control).

If an Event Outside Our Control takes place that affects the performance of our obligations under the Contract:

• We will contact you as soon as reasonably possible to notify you.
• Our obligations under the Contract will be suspended and the time for performance of our obligations will be extended for the duration of the Event Outside Our Control. Where the Event Outside Our Control affects our delivery of Products to you, we will arrange a new alternative with you after the Event Outside Our Control is over.
• You may cancel your membership or refrain from using Tijarahub Website when affected by an Event Outside Our Control.

General

Assignment and transfer.

• We may assign or transfer our rights and obligations under these Terms-page to another entity by posting on Tijarahub Website if this happens.
• You may only assign or transfer your rights or your obligations under these Terms-page to another person if we agree in writing.

Waiver

If we do not insist that you perform any of your obligations under these Terms-page, or if we do not exercise our rights or remedies against you, or if we delay in doing so, that will not mean that we have waived our rights or remedies against you or that you do not have to comply with those obligations.
If we do waive any rights or remedies, we will only do so in writing, and that will not mean that we will automatically waive any right or remedy related to any later default by you.

Severance

Each paragraph of these Terms-page operates separately.
If any court or relevant authority decides that any of them is unlawful or unenforceable, the remaining paragraphs will remain in full force and effect.

Third party rights

This is between you and us.
No other person has any rights to enforce any of its Terms-page.

Governing law and jurisdiction.

The Contract is governed by the United Arab Emirates (UAE) and each party irrevocably agrees to submit all disputes arising out of or in connection with the Contract to the exclusive jurisdiction of the United Arab Emirates (UAE) courts.
